Pursuant to call, the 18th Annual Members’ Meeting of Oystercatcher Island Villas Owners Association, Inc. was held on Saturday, May 18, 2012, at the Beach Club – Litchfield by the Sea, Pawleys Island, South Carolina.
The President of the Oystercatcher Island Villas Owners Association, Inc. called the meeting to order by welcoming the Owners in attendance. Board Members seated at the head table were introduced as follows:
Richard Broberg, President
Nancy Seitz, Vice President/Treasurer
William Poston, Secretary
Community Association Manager, Chris Petrik, and Ginger Pippin, Community Specialist, represented Waccamaw Management, LLC, AAMC, Managing Agent for the Association.
Richard Broberg, President of the Board, acted as Chairman for the Meeting and William Poston, Secretary of the Board, acted as Secretary.
Ginger Pippin stated the total percentage by proxy and in person of Membership represented at the Meeting was 62.22%, which established a quorum.
Chairman Broberg requested the Secretary examine the Proof of Mailing of the Notice of the 18h Annual Members' Meeting and that it be filed with the official minutes of the meeting.
Chairman Broberg entertained a motion to waive the reading of the minutes of the 17th Annual Members’ Meeting and approve the Minutes as written and presented. Upon a motion by Mrs. Langan, seconded by Mr. Seitz, and approved with no objections, it was;

Board of Directors Report-Richard Broberg
Richard Broberg, President of the Board, presented the Directors Report. He stated that 32 homes had had roof repairs and remain one would be done in a timely manner. The Roof Project is going well but it was noticed that, in some cases, the Duradec material has been coming up on the edges. We worked with Duradec for a permanent resolution. The primary reason for the problem was that the Contractor used material not recommended by Duradec. The solution is to use a different bonding strip on the edges, wrap the Duradec over the edge and glue the material. Detailed drawings are available.
The Contractor, RCB, has extended their warranty to cover for labor to 10 years, which matches the Duradec’s warranty. The Contractor will continue to work on new decks and will retrofit, at their expense, all previous completed decks. The retrofitted decks will require an additional Duradec edging along the perimeter.
Painted need to be done and that a survey would be sent out to home owners asking on their suggestion on what work need to be done and what order work should be done.
President Broberg was happy to report that the cable and Internet had been installed. If any homeowner was having trouble getting the cable box set up, please give Time Warner a call.
President Broberg also reported that some homeowners were delinquent on fees. All homeowners must pay fees to keep things running and looking good at Oystercatcher Island. If dues become 60 days late cable service can be turned off.
President Broberg then went over summer annoyances such as parking and golf cart problems the Association faces each year. Please do not hesitate to call the front gate if you see a problem. Also a reminder that fireworks are not allowed to be shot off at Oystercatcher Island.
Managing Agent Report-Chris Petrik
Homeowners were given a copy of the 2012 Income and Expense Report. Year end audits would be mailed out to homeowners when completed Mr. Petrik reported. Mr. Petrik reported that the Association was able to make contributions to the reserve funds.
There, being no further discussion regarding the reports, the meeting turned to the Elections.
ELECTION OF DIRECTORS:
The following Nominees were self-nominated:

Chairman Broberg called for any nominations from the floor. Hearing none, he called for a motion to close the nominations. Upon a motion by Mrs. Roe, seconded by Seitz, and approved with no objections, it was;
MOVED: Approval to close the nominations and accept Richard Broberg and Dave Milne to the Board of Directors of the Oystercatcher Island Villas Owners Association, Inc.
ELECTION OF TAX RESOLUTION:
The Membership will vote on the tax resolution to defer excess Association income over Association expenses as defined in IRS Reg. 1-277-1 for the year ended 12/31/12 shall be applied against the subsequent tax year member assessments as provided by IRS Revenue Ruling 70-604. Upon a motion by Mr. Poston, seconded by Mrs. Seitz, and approved with no objections, it was;
MOVED: Approval to accept the Tax Resolution by acclamation.

Nancy Seitz brought up that she feels that more detail landscaping needs to be done. Bushes and trees need to be trimmed especially those around signs and more and different flowers need to be planted.
Richard Broberg asks if homeowners thought that Wi-Fi need to be added to the pool area. It is one of the questions that will be sent out on survey to be mailed out soon.
Mr. Seitz, asks to have the floor and gave a report and passed a petition around asking for signatures to help and keep the Midway Fire Dept. Open.
There being no further business to come before the Board, a motion was made by Mrs. Dickson seconded by Mr. Seitz, and agreed to without objection, it was agreed to adjourn the meeting.
